Ltd. ("Careers 4 London", "we", "our"
or "us"), through the
Careers 4 London
Web Site – www.careers4london.com (“Our Web Site”) - provides a
passive conduct for the online publication and distribution of user-submitted information,
which aims to assist individuals to seek employment and employers to seek employees.
The
Careers 4 London
Agreement (the “Agreement”) consists of the following
terms and conditions, all of which govern your relationship with us:
- General Terms and Conditions, governing use of the
Careers 4 London
Web Site and its content;
- Additional Terms and Conditions (in certain areas of Our Web Site), governing use
of the
Careers 4 London
Web Site and its content e.g. the content of the ‘Employer’ – link on Our Web Site
(if you are an employer); and
- Privacy Policy, governing your disclosure and our use of your personally identifiable
information.
Please read the terms and conditions of the Agreement carefully as they determine
your rights and liabilities. If you do not agree to all the terms and conditions
of the Agreement, please do not register for and/or use Our Web Site. To use any
of the services provided on Our Web Site, you are required to register as an authorised
user on Our Web Site. Please note that any such registration or use shall be accepted
by us as your agreement to all the terms and conditions of the Agreement and therefore
you will be legally bound thereby. Our Web Site is provided to you for your personal
use only subject to the terms and conditions of the Agreement. The terms “you”,
“your” and “user”, as used in the Agreement, refer
to an individual and/or entity accessing Our Web Site for any reason.
If you are an employer, please refer to the ‘Employer’ – link on Our Web Site’s
Home Page as its content specifies our services, prices and payment terms, which
form part of the terms and conditions of your Agreement with us.

Wales whose registered office is at Commercial Buildings, 11-15 Cross Street, Manchester,

2. Amendments
2.1 The terms and conditions of the Agreement may be updated by us from time to
time. However, any changes will be notified to you through the e-mail address that
you provide to us on registration or through a suitable announcement on Our Web
Site. Please note that the changes will only apply to the registration and/or use
of Our Web Site after you have been given notice. If any of our updated terms and
conditions of the Agreement is unacceptable to you, you should not continue to use
Our Web Site. If you continue to be registered and/or continue to use Our Web Site
after the change comes into effect, your registration and/or use of Our Web Site
will be accepted by us as your agreement to all the then updated and existing terms
and conditions of the Agreement, and therefore you will be legally bound thereby.
3. Registration
3.1 You are only permitted to register on and/or use Our Web Site if you are over
sixteen years of age. Any information that you provide to us on registration or
at any other time must be correct and complete. In the event of any changes to the
information that you provided to us on registration or at any other time, you must
inform us thereof immediately so that we can update your information.
4. Password and Security
4.1 On your registration to use Our Web Site, you will be requested to create a
password. Once created, it will be your responsibility to keep the password safe
and confidential. You must not disclose it or share it with anyone. You will be
responsible for all activities and orders that occur or are submitted under your
password. You must notify us immediately by e-mailing enquiries@careers4london.com
if you know or suspect that someone else knows your password. We may require you
to change your password or we may suspend or cancel your account in accordance with
clause 16 below if we have reason to believe that there is likely to be a breach
of security or misuse of Our Web Site.
5. Excluded Services
5.1 You will require Internet connectivity and appropriate telecommunication links
to register on and use Our Website. The provision of computer or any other equipment
necessary to access Our Web Site is not included in the services provided by us.
We shall not be liable for any telephone or any other costs that you may incur to
access, register on or use Our Web Site.
6. Intellectual Property
6.1 The content of Our Web Site (“Web Site Content”) is protected
by intellectual property rights including, but not limited to, copyright, trademarks
and database rights. All Web Site Content is the property of
Careers 4 London
or our content suppliers or our clients.The compilation (meaning the collection,
arrangement and assembly) of all content on Our Web Site is the exclusive property
of Careers 4 London and protected by copyright laws. You must retain all copyright,
trademark, service-mark and other proprietary notices contained in the original
Web Site Content on any copy you make of the Web Site Content. You may not sell
or modify the Web Site Content or reproduce, display, publicly perform, distribute
or otherwise use the Web Site Content in any way for any public or commercial purpose.
The use of the Web Site Content on any other web site or in a networked computer
environment for any purpose is prohibited. As it is also protected by our copyright,
you may not copy or adapt the HTML code that we create to generate any Web Site
Content or the pages making up Our Web Site, except to the extent expressly permitted
by the provisions of the Agreement. The content of Our Web Site may be retrieved
and displayed by you on a computer screen, or you may store such content in electronic
form on disk (but not on any server or other storage device connected to a network),
or you may print one copy of such content for your own personal, non-commercial
use, provided you keep intact all copyright, trademark, service-mark and other proprietary
notices contained therein. Unauthorised use of the Web Site Content may violate
copyright, trademark and other laws. You will be responsible for any liability arising
from any such unautorised use.
6.2 By submitting content to any public or non-public area of Our Web Site, you
grant us and our affiliates a royalty-free, perpetual, irrevocable, transferable,
sub-licensable (through multiple tiers), non-exclusive right (including any moral
rights) and license to use, reproduce, modify, adapt, publish, translate, create
derivative works from, distribute, communicate to the public, perform and display
such content (in whole or in part) worldwide and/or to incorporate it in other works
in any form, media or technology now known or later developed for the full term
of any rights that may exist in such content. You also warrant that the holder of
any rights, including moral rights in such content, has completely and effectively
waived all such rights and validly and irrevocably granted to you the right to grant
the license stated in this clause. You also permit any registered user of Our Web
Site to access, display, view, store and reproduce such content for personal use.
Subject to the foregoing, the owner of such content placed on Our Web Site retains
any and all rights that may exist in such content.
7. Limitations
7.1 Our Web Site and its content may only be used for lawful purposes by candidates
seeking employment and employers seeking employees.
7.2 As a user, you are solely responsible for your own communications and are responsible
for the consequences of their posting, distribution, display, transmission, storage
and destruction on Our Web Site. It is therefore your responsibility to (without
limitation) select the accurate form and content of your posting to be posted on
Our Web Site, to accurately post such form and content on Our Web Site, to field
communications from candidates, employers and other third parties resulting from
such posting on Our Web Site, to arrange and attend job interviews, to negotiate
any terms of employment, and to perform any other related activities. We do not
provide any of these products and/or services and therefore do not guarantee that
a suitable candidate, employee, employer and/or employment will be found.
7.3 Neither Our Web Site nor any of its contents may be used for any of the following
purposes:
7.3.1 posting, distributing, displaying, transmitting or storing any unlawful, harassing,
libellous, abusive, threatening, harmful, vulgar, obscene, defamatory, offensive,
sexually explicit, hateful, racist, sexist, discriminatory, or otherwise objectionable
material;
7.3.2 posting, distributing, displaying, transmitting or storing any advertisements
or solicitations of business, any chain letters or pyramid schemes, any material
containing viruses, trojan horses, worms, time bombs, cancelbots or other computer
programming routines or engines that are intended to damage, detrimentally interfere
with, surreptitiously intercept or expropriate any system, data or information;
7.3.3 posting, distributing, displaying, transmitting, storing or destroying material
that encourages conduct that constitutes a criminal offence, results in civil liability
or otherwise breaches any relevant laws, regulations or code of practice;
7.3.4 posting, distributing, displaying, transmitting, storing or destroying material
in a manner that will infringe the copyright, trademark, trade secret or other intellectual
property rights of others or violate the privacy, publicity or other personal rights
of others;
7.3.5 posting, distributing, displaying, transmitting or storing any incomplete,
false or inaccurate biographical information or information which is not your own
accurate CV (living individual seeking employment on a full-time or part-time basis
on his or her own behalf);
7.3.6 posting, distributing, displaying, transmitting or storing jobs located in
countries subject to economic sanctions of the United Kingdom from time to time;
7.3.7 posting, distributing, displaying, transmitting or storing any hyperlinks,
"hidden" keywords or any keywords that are irrelevant to the job or are
otherwise misleading contained in a job posting;
7.3.8 posting, distributing, displaying, transmitting or storing jobs which require
the applicant to provide information in relation to his/her (i) racial or ethnic
origin (ii) political beliefs (iii) philosophical or religious beliefs (iv) membership
of a trade union (v) physical or mental health (vi) sexual life (vii) the commission
of criminal offences or proceedings or (vii) age;
7.3.9 posting, distributing, displaying, transmitting or storing any franchise,
pyramid scheme, "club membership", distributorship or sales representative
agency arrangement or other business opportunity which requires an up front or periodic
payment, pays commissions only (no significant salary), requires recruitment of
other members, sub-distributors or sub-agents;
7.3.10 using the

CV database for any purpose other than as an employer seeking employees for specific
live jobs including, but not limited to, using the information in the CV database
to sell or promote any products or services or to source people to join a franchise,
pyramid scheme, “club membership”, distributorship or sales representative agency
arrangement or other business opportunity which requires an up front or periodic
payment, pays commissions only (no significant salary), requires recruitment of
other members, sub-distributors or sub-agents;
7.3.11 impersonating another person;
7.3.12 gaining unauthorised access to other computer systems;
7.3.13 interfering with any other individual’s and/or entity’s use or enjoyment
of Our Web Site;
7.3.14 breaching any laws concerning the use of public telecommunications networks;
7.3.15 interfering or disrupting networks or web sites connected to Our Web Site;
7.3.16 sending unsolicited mail or e-mail, making unsolicited phone calls or sending
unsolicited faxes regarding promotions and/or advertising of products or services
to a user of Our Web Site;
7.3.17 deleting or revising any material posted by any other individual or entity
on Our Web Site;
7.3.18 using any device, software or routine to interfere or attempt to interfere
with the proper working of or any activity being conducted on Our Web Site;
7.3.19 taking any action which imposes an unreasonable or disproportionately large
load on Our Web Site’s infrastructure;
7.3.20 if you have a password allowing access to a non-public area of Our Web Site,
disclosing to or sharing your password with any third parties or using your password
for any unauthorised purpose;
7.3.21 notwithstanding anything to the contrary contained herein, using or attempting
to use any engine, software, tool, agent or other device or mechanism including,
without limitation, browsers, spiders, robots, avatars or intelligent agents to
navigate or search Our Web Site other than the search engine and search agents available
from

on Our Web Site and other than generally available third party web browsers (e.g.
Netscape Navigator, Microsoft Explorer);
7.3.22 attempting to decipher, decompile, disassemble or reverse engineer any of
the software comprising or in any way making up a part of Our Web Site;
7.3.23 aggregating, copying or duplicating in any manner any of the Web Site Content
or information available from Our Web Site, except to the extent expressly permitted
by the provisions of the Agreement; and/or
7.3.24 framing of or linking to any of the Web Site Content or information available
from Our Web Site.
7.4 We reserve the right to refuse the posting, distributing, displaying, transmitting,
storing and/or destroying of any information/material /data on Our Web Site, and
to remove any information/material/data already posted, distributed, displayed,
transmitted, stored and/or destroyed on Our Web Site.
8. Availability of Our Web Site
8.1 We shall use all reasonable endeavours to ensure that Our Web Site and its content
are available at all times. However, we reserve the right to update Our Web Site,
to change its content, to restrict or suspend or cancel access to it or to close
it indefinitely or withdraw it completely, at any time, without notice, at our sole
option and discretion, for example if and when we deem it to be necessary to allow
for repairs, maintenance, for the introduction of new facilities or services, if
you breach any of your obligations under the Agreement, or for any other reason.
8.2 Any of the content on Our Web Site may be out of date at any given time. However,
we are under no obligation to update such content.
8.3 You acknowledge and agree that we shall not in any circumstances be liable,
whether in contract, tort (including negligence) or otherwise (even if foreseeable)
for any claims, liability, damages, losses, costs (including reasonable legal fees)
and expenses arising out of Our Web Site or all or any part of its content being
unavailable in terms of clause 8.1 above or the content of Our Web Site being out
of date in terms of clause 8.2 above.
9. Liability
9.1 Our Web Site is a venue only. It acts as a venue for employers to post job opportunities
and candidates to post CV's. We do not screen or censor the listings offered. We
are not involved in the actual transaction between employers and candidates. Therefore,
we have no control over the quality, safety or legality of the jobs or CV's posted,
the truth or accuracy of the listings, the ability of employers to offer job opportunities
to candidates or the ability of candidates to fill job openings, and accordingly
cannot and do not accept any responsibility for same or for any errors or omissions
or for the results obtained from the use of any such content on Our Web Site. Please
note that there are risks including, but not limited to, the risk of physical harm,
of dealing with strangers, foreign nationals, underage persons or people acting
under false pretences. You assume all risks associated with your use of the internet
and dealing with other users with whom you come in contact through Our Web Site.
9.2 If you are a candidate, you acknowledge and agree that you are solely responsible
for the form, content and accuracy of any CV or material contained therein, posted
by you on Our Web Site. If you are an employer, you acknowledge and agree that you
are solely responsible for the form, content and accuracy of your postings on Our
Web Site.
9.3 We are not to be considered to be an employer with respect to your use of Our
Web Site and we shall not be responsible for any employment decisions (for whatever
reason made) made by any entity posting jobs on Our Web Site.
9.4 In addition to the postings and listings referred to in clauses 9.1 to 9.3 above,
Our Web Site may include content obtained from other Internet sites or other sources.
Although we try to ensure that such content is correct, reputable and of high quality,
we cannot accept any responsibility if this is not the case. We also do not accept
any responsibility for any errors or omissions or for the results obtained from
the use of any such content or for any technical problems you may experience with
Our Web Site. In the event that we are informed of any inaccuracies in respect of
such content on Our Web Site, we will attempt to correct the inaccuracies as soon
as practicable.
9.5 We do not warrant that Our Web Site will operate error-free or that Our Web
Site and its Server are free from computer viruses or other harmful mechanisms.
If you lose any information/material/data or need to service or replace equipment
or information/material/data, as a result of accessing Our Web Site or your use
of Our Web Site content, you acknowledge and agree that we shall not be held responsible
for any such loss or damage. It is your responsibility to ensure that you save,
back-up and protect all your information/material/data and equipment.
9.6 We disclaim, in particular, all liabilities in connection with: incompatibility
of Our Web Site with any of your equipment, software or telecommunications links;
technical problems including errors or interruptions of Our Web Site; unsuitability,
unreliability or inaccuracy of Our Web Site; inadequacy of Our Web Site to meet
your requirements.
9.7 Our Web Site and its content are provided “as is” without any other representations,
conditions, warranties, guarantees and/or other terms of any kind. We accordingly
exclude all representations, conditions, warranties, guarantees and/or other terms
(whether express or implied, including, without limitation, the conditions implied
by law of merchantability, satisfactory quality, fitness for purpose, the use of
reasonable care and skill, and non-infringement with respect to our services or
Our Web Site or the functionality, performance or results thereof) which but for
these terms and conditions might have effect in relation to Our Web Site; and we
exclude all representations, conditions, warranties, guarantees and/or other terms
(whether express or implied) about the accuracy, reliability, completeness, or timeliness
of Our Web Site, Our Web Site content, any information/material/data, services,
software, text, graphics and links.
9.8 Without prejudice to any other provision in the Agreement excluding or limiting
our liability, any liability to you arising from the Agreement, your access to or
use of Our Web Site or any of its content, any related agreement or any related
cause (whether in contract or tort, including negligence, or otherwise) shall be
limited to a sum of £50.00. You acknowledge and agree that you will be responsible
for any excess loss and damage, and are responsible for obtaining insurance for
any excess loss and damage.
9.9 We shall not in any circumstances be liable, whether in contract, tort (including
negligence) or otherwise (even if foreseeable), for any loss of income or revenue,
loss of business, loss of profits or contracts, loss of benefit, loss of production,
loss of availability, loss of reputation, loss of goodwill, loss of use suffered
or incurred directly or indirectly by you, loss of anticipated savings, loss of
information/material/data, waste of management or office time; for any indirect
or consequential loss or damage of any kind however arising and of whatsoever nature;
and for any punitive or exemplary damages.
9.10 You agree to indemnify, defend and hold harmless, and to continue to indemnify,
defend and hold harmless us, any of our officers, directors, employees, agents and
sub-contractors from and against all claims, liability, damages, losses, costs (including
reasonable legal and accounting fees) and expenses arising out of any information/material/data
you provide to us or Our Web Site, any breach of the Agreement or any related agreement
by you, your use of Our Web Site or any of its content, the use of Our Web Site
or any of its content by any other person using your registration details, any circumstances
where we are held to be your agent, and/or any related cause.
10. Third Party Websites, Advertising and Sponsorship
10.1 Links to third party web sites on Our Web Site are provided solely for your
convenience. If you use any of these links, you leave Our Web Site. Our Web Site
may also contain advertising and sponsorship. Representations made regarding products,
services or sponsorships provided by any third parties are governed by the policies
and representations made by them, and are subject to any such parties’ compliance
with all relevant laws and codes. We have not reviewed all of these third party
web sites, adverts, representations, products, services and sponsorships and do
not control and are not responsible for them or their content or availability in
any way. You rely on and use any such third party web sites, adverts, representations,
products, services and sponsorships entirely at your own risk. We will not be liable
for or responsible in any manner for any of your dealings or interactions with any
of these third parties or your reliance on or use of any such third party web sites,
adverts, representations, products, services or sponsorships.
11. International Use
11.1 We do not represent or give any warrantees or guarantees that
the content of Our Web Site is appropriate or available for use in locations outside
the United Kingdom.
11.2 It is unlawful to access and/or use Our Web Site and/or any of its content
from/in locations where such access and/or content are illegal or unlawful. If you
access and/or use Our Web Site and/or any of its content from/in locations outside
the United Kingdom, you do so at your own risk and you are responsible for compliance
with local laws. We will not be liable or responsible in any way if you access and/or
use Our Web Site and/or any of its content illegally or unlawfully.
12. Non-Confidential and Non-Proprietary Information
12.1 Other than personally identifiable information/material/data (which is governed
by the terms and conditions of our Privacy Policy) and your proprietary rights reserved
in clause 6.2 above, you acknowledge and agree that none of the information/material/data
that you provide to us under the Agreement or otherwise are confidential and/or
proprietary; that we will have no obligations with respect to such information/material/data
other than those specified under the Agreement; and that we and our nominees will
be free to copy, disclose, distribute, incorporate and otherwise use such information/material/data
and all images, sounds, text and other things embodied therein for any and all commercial
or non-commercial purposes.
13. Assignment
13.1 You may not transfer, assign, charge, sub-license or otherwise
dispose of any of your rights or obligations under the Agreement.
14. Severability
14.1 If any of the terms and conditions of the Agreement are deemed by any competent
authority to be invalid, unlawful or unenforceable, such terms and conditions will
to that extent be severed from the remaining terms and conditions, which will continue
to be valid to the fullest extent permitted by law.
15. Cancellation
15.1 We may suspend or cancel your registration to and/or right to use Our Web Site
immediately at our reasonable discretion or if you breach any of your obligations
under the Agreement.
15.2 If you wish to cancel the Agreement, you may do so at any time by notifying
us in writing. If you do so, you must immediately stop using Our Web Site.
15.3 Except to the extent that we shall not be obliged under the Agreement to provide
you with Our Web Site service, and to the extent that you shall not be obliged under
the Agreement to pay us for Our Web Site service, all other provisions of the Agreement
shall survive cancellation or expiry of the Agreement (whichever occurs first).
16. Non-Waiver
16.1 If we do not insist upon your strict performance of any of your obligations
under the Agreement or if we do not exercise any of the rights or remedies to which
we are entitled, this shall not relieve you from compliance with any of your obligations,
and shall not constitute a waiver of any our rights or remedies.
17. Events Outside Our Control
17.1 We will not be in breach of any of our obligations under the Agreement and
will not be liable or responsible for any failure to perform or any delay in performance
of any of our obligations under the Agreement, caused by any event outside our reasonable
control (“Force Majeure Event”).
17.2 A Force Majeure Event includes any act, event, non-happening, omission or accident
beyond our reasonable control and includes in particular (without limitation) the
following: fire, flood, disaster, power outage or electrical failure, any industrial
dispute, theft of computers or related equipment, governmental laws or regulations,
hostile computer act, non-availability of third party data centres, telecommunications
or internet failures, acts of terrorism, civil riot or war.
18. Entire Agreement
18.1 The terms and conditions of the Agreement set out the entire agreement between
you and us. They supersede any prior agreement, understanding or arrangement between
you and us, whether oral or in writing.
18.2 You acknowledge and agree that, in entering into the Agreement, you have not
relied on any representation, undertaking or promise (implied or otherwise) given
by us at any stage prior to you entering into the Agreement, except as expressly
provided for in the Agreement.
18.3 Other than the remedies provided for in the Agreement for breach of contract,
nobody shall have any remedy in respect of any untrue statement made by any party
to the Agreement prior to the date of the Agreement (unless such untrue statement
was made fraudulently or in a deceitful manner).
19. Applicable Law
19.1 The terms and conditions of the Agreement shall be governed by and construed
in accordance with the laws of England and any disputes arising from or related
to any such terms and conditions will be decided only by the English courts.
